Terms of Service

1. Acceptance of Terms

Welcome to Newland Europe. By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy and Refund Policy, which are incorporated herein by reference. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Newland Europe ("Company," "we," "us," or "our"), a business management and advisory firm located at 12113 River Beauty Loop, Prospect, KY 40059.

If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services. We reserve the right to modify these Terms at any time without prior notice. Your continued use of our services following any such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

These Terms apply to all visitors, users, clients, and others who access or use our services, whether through our website, email correspondence, telephone communication, or any other means of engagement with Newland Europe.

2. Description of Services

Newland Europe provides business management and advisory services on a consultative and advisory basis. Our services are designed to assist businesses in improving their operational performance, strategic positioning, and organizational effectiveness. The scope of our services includes, but is not limited to:

  • Process Optimization: Comprehensive analysis and advisory recommendations for improving business workflows, eliminating inefficiencies, identifying bottlenecks, and developing implementation roadmaps for operational improvements.
  • Operational Support: Hands-on advisory support for day-to-day operational activities, including performance monitoring guidance, resource allocation recommendations, and continuous improvement strategies.
  • Growth Strategy Consulting: Data-driven strategic consulting to identify expansion opportunities, analyze market conditions, develop growth plans, and provide recommendations for revenue optimization.
  • Efficiency Improvement: Systematic assessment of organizational efficiency through KPI development, cost reduction planning, industry benchmarking, and targeted improvement recommendations.
  • Organizational Structure Advisory: Expert guidance on organizational design, governance frameworks, role optimization, and structural alignment to support optimal business performance.
  • Management Consulting: Strategic counsel for senior leadership on complex business decisions, change management initiatives, transformation programs, and decision-making frameworks.

2.1 Advisory Nature of Services

All services provided by Newland Europe are strictly advisory and consultative in nature. We provide recommendations, guidance, analysis, and strategic counsel. We do not and will not:

  • Perform financial transactions or operations on behalf of clients
  • Manage, hold, transfer, or otherwise handle client funds or financial assets
  • Execute business decisions on behalf of clients
  • Serve as fiduciaries for client assets or investments
  • Provide legal, tax, or accounting services
  • Guarantee specific business outcomes or financial results

Clients retain full decision-making authority and responsibility for implementing any recommendations or strategies discussed during our advisory engagements. The implementation of any advice, strategy, or recommendation is entirely at the client's own discretion and risk.

3. Client Obligations

By engaging our services, you agree to the following obligations and responsibilities:

  • Provide accurate, complete, and truthful information during all interactions with Newland Europe.
  • Respond to reasonable requests for information or documentation in a timely manner to facilitate the delivery of advisory services.
  • Maintain confidentiality of any proprietary methodologies, frameworks, or materials shared by Newland Europe during the engagement.
  • Refrain from misrepresenting Newland Europe's role, services, or advice to third parties.
  • Comply with all applicable laws and regulations in your jurisdiction when implementing any recommendations.
  • Make timely payments for services rendered in accordance with the agreed-upon terms and pricing structure.
  • Designate appropriate personnel with decision-making authority to participate in advisory sessions and consultations.

4. Engagement Process

Our engagement process typically follows a structured approach designed to ensure clarity, alignment, and measurable outcomes:

Initial Consultation: Upon contacting Newland Europe, we will schedule an initial consultation to understand your business context, challenges, objectives, and expectations. This consultation helps us determine the appropriate scope and level of engagement.

Proposal and Agreement: Following the initial consultation, we will prepare a detailed proposal outlining the scope of advisory services, deliverables, timeline, pricing, and terms of engagement. No advisory work will commence until both parties have agreed upon and acknowledged the engagement terms.

Service Delivery: Advisory services will be delivered in accordance with the agreed-upon engagement plan. This may include scheduled advisory sessions, assessment reports, strategic documentation, and ongoing communication as defined in the engagement agreement.

Review and Feedback: We encourage continuous feedback throughout the engagement to ensure our advisory services remain aligned with your evolving needs and objectives. Regular review meetings will be scheduled as appropriate for the engagement tier.

5. Intellectual Property

All content, materials, methodologies, frameworks, templates, reports, analyses, and other intellectual property created or provided by Newland Europe in connection with our services remain the exclusive property of Newland Europe unless explicitly stated otherwise in a written agreement.

Clients are granted a limited, non-exclusive, non-transferable license to use deliverables and materials provided during the engagement solely for their internal business purposes. Clients may not reproduce, distribute, modify, publicly display, or create derivative works from Newland Europe's proprietary materials without prior written consent.

Any intellectual property, trade secrets, confidential information, or proprietary data shared by the client with Newland Europe during the engagement remains the property of the client. Newland Europe will not disclose, use, or exploit client intellectual property for any purpose other than the delivery of agreed-upon advisory services.

6. Confidentiality

Newland Europe is committed to maintaining the strictest confidentiality regarding all client information. Both parties agree to keep confidential all proprietary, sensitive, and non-public information disclosed during the engagement. This obligation of confidentiality shall survive the termination of the engagement and remain in effect indefinitely for trade secrets and for a period of five (5) years for other confidential information.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of confidential information; or (d) is required to be disclosed by law or court order.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Newland Europe, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with the use of our services, regardless of the theory of liability.

Our total aggregate liability for any claims arising out of or related to our services shall not exceed the total fees actually paid by the client to Newland Europe for the specific engagement giving rise to the claim during the twelve (12) months preceding the event giving rise to such liability.

Newland Europe does not guarantee specific business outcomes, financial results, or any particular level of performance improvement. All advisory services are provided on an "as-is" basis, and we make no warranties, express or implied, regarding the suitability, accuracy, or completeness of our advice for any specific purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless Newland Europe, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your implementation of any recommendations or strategies discussed during the engagement; (d) any third-party claims related to actions taken by you based on our advisory services; or (e) your violation of any applicable laws or regulations.

9. Termination

Either party may terminate the engagement by providing written notice in accordance with the terms specified in the engagement agreement. Unless otherwise agreed, a minimum of thirty (30) days' written notice is required for termination of ongoing advisory engagements.

Newland Europe reserves the right to immediately terminate or suspend services if the client: (a) breaches any material term of these Terms or the engagement agreement; (b) fails to make payment within thirty (30) days of the due date; (c) engages in conduct that is unlawful, unethical, or harmful to Newland Europe's reputation; or (d) becomes insolvent or files for bankruptcy.

Upon termination, all fees incurred for services rendered through the date of termination shall become immediately due and payable. The client's obligations regarding confidentiality, intellectual property, indemnification, and limitation of liability shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or our services shall first be submitted to good-faith mediation. If mediation fails to resolve the dispute within sixty (60) days, either party may pursue resolution through binding arbitration conducted in Louisville, Kentucky, in accordance with the rules of the American Arbitration Association.

Each party shall bear its own costs and expenses associated with mediation and arbitration. The prevailing party in any arbitration proceeding shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any signed engagement agreements, constitute the entire agreement between you and Newland Europe regarding the subject matter herein and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11.3 Waiver

The failure of Newland Europe to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Newland Europe.

11.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Newland Europe. Newland Europe may assign its rights and obligations without restriction.

11.5 Force Majeure

Newland Europe shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, civil unrest, internet or telecommunications failures, or power outages.
